1. About these terms

These terms describe general arrangements for working with New Zealand Finance & Accounting Limited (NZFA). They should be read alongside your engagement letter, agreed scope of work and any service-specific terms.

The services, fees, responsibilities and other commercial arrangements for an engagement are those agreed with you. Updating this webpage does not, by itself, amend an existing engagement agreement. Please contact us if the documents relevant to your engagement require clarification.

2. Our services and professional approach

NZFA provides services within the scope agreed with each client. These may include bookkeeping, accounting, tax, payroll and business advisory work.

We aim to communicate clearly, act with integrity and manage relevant conflicts of interest. An audit, assurance engagement or investigation is not included merely because we provide accounting services; any such work must be specifically agreed.

3. Your responsibilities

You are responsible for:

  • Providing complete, accurate and timely information and explaining relevant changes.
  • Giving instructions, approvals and access reasonably needed for the agreed work.
  • Maintaining appropriate accounting records, internal controls and accounting policies for your organisation.
  • Reviewing and approving returns and reports before they are finalised or submitted, where your approval is required.
  • Meeting your legal obligations, including correct tax returns, filing deadlines and payment of tax.
  • Providing information about other people only where you are entitled to do so, including compliance with the Privacy Act 2020, as amended, and other applicable requirements.
  • Using our work for its agreed purpose and in accordance with the engagement arrangements.
  • Advising us of relevant health and safety requirements when our personnel attend your premises.

You remain responsible for the information supplied, your organisation's management decisions and your responsibilities to users of the financial information compiled for you. Our involvement does not transfer those responsibilities to NZFA, subject to applicable law and the engagement arrangements.

4. Scope and limitations of accounting work

Our work relies on the records and explanations made available to us. A compilation engagement does not amount to an audit or independent verification of every underlying transaction. The reliability of compiled information depends on the quality and completeness of the source records.

To the extent permitted by law and subject to the agreed engagement, NZFA does not accept responsibility for the accuracy or completeness of records or information you supply, or for deficiencies in the reliability, accuracy or completeness of compiled information arising from those records. Responsibility for maintaining adequate records, internal controls and appropriate accounting policies remains with your organisation.

Unless specifically included in the agreed scope, our work does not involve investigating or detecting fraud, unlawful conduct, internal control weaknesses or other irregularities. If we cannot complete the work, or consider information to be misleading, we may need to address the issue in the relevant report or decline to issue it, consistent with the engagement and applicable obligations.

Automated imports or bank feeds do not remove the need for supporting records, review or client approval. Tell us promptly if you identify an error, missing transaction or information that appears inconsistent.

5. Authority to act and bank connections

Authority for NZFA to communicate with Inland Revenue or other parties must be provided where required and is limited to the relevant engagement and authorisation.

NZFA is preparing an optional bank data connection service through Akahu. It is not currently open for general use. Any permitted client testing will be separately arranged after the necessary technical and provider requirements are met.

If you are invited to connect an account, you must be authorised to share that account's information for the agreed work. You will separately review and approve the requested accounts and permissions. General authority to act as your accountant does not replace that bank connection authorisation.

The planned service is read-only and does not grant payment authority. Access can be withdrawn, but withdrawing access does not itself cancel your accounting engagement or remove record-keeping obligations. Where access ends, we may need another way to obtain records required for the agreed work.

Akahu's End User Terms and Privacy Notice — Ongoing Consent apply to its service. Your arrangements with your bank also remain relevant.

6. Privacy, confidentiality and security

Our Privacy Policy describes how we handle personal information. We must protect information in accordance with applicable law and the confidentiality arrangements governing our work.

Please keep access to your devices and relevant accounts secure, and contact us promptly about suspected unauthorised access or disclosure. Do not send NZFA your bank password or one-time bank authentication codes.

Third-party software or data providers do not remove the responsibilities that NZFA has under applicable law or its engagement with you.

7. Communication, fees and use of work

Instructions, expected timing and the scope of our work should be clear to both parties. Let us know promptly if your circumstances or requirements change.

Fees, payment arrangements and any changes to services are dealt with under the arrangements agreed for your engagement. This webpage does not introduce additional subscription charges, renewal terms or cancellation notice periods.

Unless otherwise agreed, materials NZFA produces during the engagement remain NZFA's proprietary materials and are available to you for the intended use. This does not transfer ownership of your underlying records or give NZFA ownership of your personal information. Please discuss any proposed use or distribution outside the agreed purpose with us.

8. Questions and applicable rights

Please contact us if you have concerns about our services or need clarification of an engagement. Nothing on this page excludes rights or obligations that cannot lawfully be excluded.
